1. Acceptance of These Terms
Welcome to LayoutLane (“LayoutLane”, “we”, “our”, or “us”). These Terms & Conditions govern your access to and use of our website, customer portal, digital products, and related services.
By accessing our website, creating an account, purchasing a product, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions, together with our Privacy Policy, Cookie Policy, Refund Policy, and Software Licence Agreement, all of which form part of this agreement.
If you do not agree to these Terms, you must not use our website or purchase our products.
2. Eligibility
To purchase or use our products and services, you must:
be at least 18 years of age, or the age of legal majority in your jurisdiction;
have the legal capacity to enter into a binding contract;
provide accurate, complete, and up-to-date information; and
comply with all applicable laws and regulations.
We reserve the right to refuse service, suspend accounts, or cancel orders where these requirements are not met.
3. Customer Accounts
A customer account is required to purchase and manage LayoutLane products.
You are responsible for:
maintaining the confidentiality of your login credentials;
all activity occurring under your account;
ensuring your account information remains accurate.
You must notify us promptly if you become aware of any unauthorised access to your account.
We reserve the right to suspend or terminate accounts that are used fraudulently, unlawfully, or in breach of these Terms.
4. Orders and Payment
All prices displayed on our website are shown in United States Dollars (USD) unless otherwise stated.
Prices are exclusive of any taxes, duties, levies, or similar governmental charges that may apply in your jurisdiction. Where applicable, you are responsible for paying any such taxes required by law.
Payment must be successfully completed before access to any digital products is provided.
Payments are securely processed by third-party payment providers. LayoutLane does not store your complete payment card information.
We reserve the right to decline or cancel any order where we reasonably suspect fraud, unauthorised payment activity, pricing errors, or other circumstances that would make fulfilling the order inappropriate.
5. Digital Product Delivery
All products sold by LayoutLane are digital products.
Upon successful payment:
your licence will be generated automatically;
the purchased product will become available within your customer dashboard;
download access will be provided through your account.
You are responsible for maintaining access to your customer account.
6. Software Licence
Your purchase grants you a licence to use the software in accordance with our Software Licence Agreement.
Unless otherwise expressly stated, each purchase includes a Single Site Licence permitting installation and use on one live website.
Purchasing a product grants a licence to use the software only. Ownership of the software and all intellectual property rights remain exclusively with LayoutLane.
7. Support and Updates
Each product purchase includes twelve (12) months of technical support and product updates beginning on the date of purchase.
During an active Support & Updates period you will receive:
software updates;
security patches;
feature improvements;
access to the latest downloadable versions;
technical support relating to the product’s core functionality.
Support does not include:
website development;
custom modifications;
installation services;
server administration;
third-party software conflicts;
code customisation;
issues caused by unsupported environments.
Additional professional services may be offered separately at our then-current rates.
Following the initial Support & Updates period:
the licensed software may continue to function;
your purchased version will remain available for download through your customer account;
access to future updates, new releases, and technical support requires renewal of the Support & Updates period.
8. Licence Validation
Certain products may periodically verify the validity of their licence.
Licence validation is used to:
confirm licence eligibility;
provide updates;
enable premium functionality where applicable;
protect against unauthorised use.
If licence validation cannot be completed, certain licensed features or update functionality may become unavailable until the licence status is successfully verified.
9. Intellectual Property
All products, software, source code, documentation, designs, graphics, trademarks, branding, logos, website content, and other intellectual property available through LayoutLane remain our exclusive property or the property of our licensors.
Nothing in these Terms transfers ownership of any intellectual property to you.
You may not copy, reproduce, redistribute, sublicense, lease, sell, publish, reverse engineer (except where expressly permitted by applicable law), modify for resale, or otherwise exploit our products beyond the rights granted under your licence.
10. Acceptable Use
You agree not to:
share or distribute licensed products without authorisation;
use our products in violation of applicable law;
remove copyright or proprietary notices;
attempt to bypass licence validation systems;
interfere with our website or services;
misuse our support services;
use our products to infringe the rights of others.
Any breach may result in suspension or termination of your licence and account.
11. Third-Party Software and Compatibility
Our products are designed for the platforms and environments described on the applicable product pages.
We cannot guarantee compatibility with:
third-party plugins or extensions;
custom code modifications;
unsupported software versions;
unsupported hosting environments;
future releases of third-party software beyond our reasonable control.
Compatibility issues caused by third-party software or customer modifications are not considered product defects.
12. Refunds
All purchases are subject to our Refund Policy.
As our products consist of downloadable digital software, refunds are limited to the circumstances described in that policy.
Nothing in these Terms limits any consumer rights that cannot lawfully be excluded under applicable legislation.
13. Disclaimer of Warranties
To the fullest extent permitted by applicable law, our products and services are provided on an “as is” and “as available” basis.
While we strive to provide reliable, secure, and high-quality software, we do not warrant that:
our products will meet every individual requirement;
operation will be uninterrupted or error-free;
every defect can be corrected;
our website or services will always remain available.
No advice or information provided by LayoutLane creates any warranty unless expressly stated in writing.
14. Limitation of Liability
To the fullest extent permitted by law, LayoutLane shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:
loss of profits;
loss of revenue;
loss of business opportunity;
business interruption;
corruption or loss of data;
reputational damage;
loss arising from third-party software or services.
Our total aggregate liability arising from any claim relating to your purchase or use of our products shall not exceed the amount paid by you for the specific product giving rise to the claim.
Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law.
15. Indemnification
You agree to indemnify and hold harmless LayoutLane from any claims, liabilities, damages, costs, or expenses arising from:
your misuse of our products;
your breach of these Terms;
your violation of applicable law;
infringement of the rights of any third party through your use of our products.
16. Suspension and Termination
We reserve the right to suspend or terminate access to your account, services, or licences where we reasonably believe you have:
breached these Terms;
violated the Software Licence Agreement;
engaged in fraudulent or unlawful activity;
abused our support services;
attempted to circumvent licence restrictions.
Termination does not affect any rights or obligations that accrued before termination.
17. Force Majeure
LayoutLane shall not be responsible for any delay or failure to perform obligations resulting from circumstances beyond our reasonable control, including natural disasters, internet outages, cyberattacks, labour disputes, governmental actions, war, civil unrest, failures of third-party service providers, or other force majeure events.
18. Privacy and Cookies
Your use of our website is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use, and protect your personal information.
By using our website, you acknowledge that your personal information will be processed in accordance with those policies.
19. Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes in our products, services, legal obligations, or business practices.
The updated version will become effective upon publication on our website unless otherwise stated.
Continued use of our website or services after changes become effective constitutes acceptance of the revised Terms.
20. Governing Law and Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws applicable to LayoutLane’s principal place of business.
Before commencing formal legal proceedings, both parties agree to make reasonable efforts to resolve any dispute through good-faith discussions.
Where a dispute cannot be resolved informally, the parties agree that it shall first be submitted to confidential binding arbitration conducted electronically, unless mandatory law requires otherwise.
Nothing in this section limits any rights that consumers may have under mandatory applicable consumer protection legislation.
21. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
22. Entire Agreement
These Terms & Conditions, together with the Privacy Policy, Cookie Policy, Refund Policy, Software Licence Agreement, and any additional policies expressly incorporated by reference, constitute the entire agreement between you and LayoutLane relating to your use of our website and products.
