Software Licence Agreement

Effective Date: 1 July 2026

1. Introduction

This Software Licence Agreement (“Agreement”) governs your use of all software products distributed by LayoutLane (“LayoutLane”, “we”, “our”, or “us”), including but not limited to themes, plugins, templates, extensions, and related digital software (collectively referred to as the “Software”).

By downloading, installing, activating, or using the Software, you agree to be bound by this Agreement.

This Agreement should be read together with our Terms & Conditions, Privacy Policy, Refund Policy, and Cookie Policy.

2. Grant of Licence

Subject to your compliance with this Agreement and successful purchase of the applicable licence, LayoutLane grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software.

Unless otherwise expressly stated, each purchase includes a Single Site Licence.

A Single Site Licence permits installation and use on one (1) live website.

The licence is granted to the original purchaser and may not be assigned, sublicensed, transferred, or shared without our prior written permission.

3. Ownership

The Software is licensed, not sold.

All copyrights, trademarks, source code, documentation, designs, branding, graphics, and all other intellectual property rights remain the exclusive property of LayoutLane or its licensors.

Purchasing a licence does not transfer ownership of the Software.

4. Permitted Use

Subject to this Agreement, you may:

  • install the Software on one live website;

  • use the Software for personal or commercial websites;

  • make reasonable configuration changes using the Software’s intended settings;

  • create backups for your own internal use.

You remain responsible for ensuring that your use of the Software complies with applicable laws.

5. Prohibited Use

Unless expressly permitted by applicable law or by written permission from LayoutLane, you may not:

  • redistribute the Software;

  • resell the Software as a standalone product;

  • sublicense the Software;

  • rent or lease the Software;

  • share your licence with another individual or organisation;

  • make the Software publicly available for download;

  • remove copyright, branding, or proprietary notices;

  • attempt to bypass licence validation mechanisms;

  • use the Software to create competing commercial products based primarily upon our Software;

  • use the Software in any unlawful manner.

Nothing in this Agreement prevents modifications that are expressly permitted by the Software’s intended functionality or by applicable law.

6. Customer Modifications

You may customise the Software for your own licensed website where such modifications are supported.

However:

  • modifications are made at your own risk;

  • LayoutLane is not responsible for issues caused by customer modifications;

  • modified software may not qualify for technical support where the modification contributes to the reported issue.

7. Licence Validation

Some LayoutLane products periodically verify licence status.

Licence validation is used to:

  • confirm that the licence remains valid;

  • provide software updates;

  • verify Support & Updates eligibility;

  • enable licensed functionality where applicable.

Reasonable technical information required for licence validation may be transmitted during this process.

Failure to complete licence validation does not automatically terminate your licence to use the version already installed.

However, depending on the product, unavailable licence validation may result in one or more of the following:

  • updates becoming unavailable;

  • premium functionality being disabled;

  • access to future releases being restricted until licence verification is restored.

8. Support and Updates

Each new purchase includes twelve (12) months of Support & Updates beginning on the purchase date.

During this period you are entitled to:

  • product updates;

  • security updates;

  • feature improvements;

  • technical support relating to the Software’s core functionality.

Support does not include:

  • website development;

  • software customisation;

  • server administration;

  • installation services;

  • compatibility issues caused by third-party software;

  • issues resulting from customer modifications.

Additional professional services may be available separately.

9. Licence Renewal

Your licence to continue using the version of the Software you have already installed does not automatically expire after twelve (12) months.

When your Support & Updates period expires:

  • your installed version may continue to function;

  • your purchased version will remain available for download through your customer account;

  • software updates will no longer be available;

  • technical support will no longer be provided;

  • future releases require renewal of your Support & Updates period.

Renewal extends eligibility for updates and support but does not create a new perpetual licence.

10. Software Compatibility

The Software is designed for the platforms and environments described on the relevant product page.

LayoutLane cannot guarantee compatibility with:

  • unsupported software versions;

  • future third-party software updates;

  • modified installations;

  • unsupported hosting environments;

  • custom code created by third parties.

Customers are responsible for ensuring that their hosting environment meets the published system requirements.

11. Beta Features

From time to time, LayoutLane may provide beta, preview, or experimental features.

Beta features are provided for evaluation purposes and may contain bugs, incomplete functionality, or changes before final release.

LayoutLane makes no guarantee that beta features will become permanent.

12. Intellectual Property Protection

You acknowledge that the Software contains proprietary intellectual property and confidential know-how.

You agree not to use the Software in any manner intended to copy, reproduce, compete with, or commercially exploit LayoutLane’s intellectual property beyond the rights expressly granted under this Agreement.

13. Suspension and Termination

LayoutLane reserves the right to suspend or terminate licences where we reasonably believe that:

  • this Agreement has been materially breached;

  • the Software has been redistributed without authorisation;

  • fraudulent activity has occurred;

  • licence validation has been deliberately circumvented;

  • payment has been reversed through fraud or unauthorised chargeback.

Where reasonably practicable, we may provide notice before taking action.

Termination of a licence does not affect rights or obligations that accrued before termination.

14. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Software is provided “as is” and “as available.”

LayoutLane does not warrant that the Software will:

  • operate without interruption;

  • be compatible with every third-party product;

  • meet every individual requirement;

  • be completely free from defects.

Nothing in this section excludes warranties that cannot legally be excluded.

15. Limitation of Liability

To the fullest extent permitted by law, LayoutLane shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use or inability to use the Software.

LayoutLane’s total liability arising from this Agreement shall not exceed the amount paid for the applicable Software licence giving rise to the claim.

Nothing in this Agreement excludes liability where exclusion is prohibited by applicable law.

16. Changes to This Agreement

LayoutLane may revise this Agreement from time to time.

The latest version will always be published on our website.

Continued use of the Software after changes become effective constitutes acceptance of the updated Agreement where permitted by applicable law.

Changes will not retrospectively remove licence rights already granted unless required by law or necessary to address fraud, security, or legal compliance.

17. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws applicable to LayoutLane’s principal place of business.

Before commencing formal legal proceedings, the parties agree to make reasonable efforts to resolve disputes through good-faith discussions.

Where a dispute cannot be resolved informally, the parties agree to confidential electronic arbitration unless mandatory applicable law provides otherwise.

Nothing in this Agreement limits any consumer rights that cannot lawfully be excluded.

18. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

This Agreement, together with the Terms & Conditions, Privacy Policy, Refund Policy, Cookie Policy, and any licence documentation provided with the Software, constitutes the complete agreement governing the licensing and use of the Software.
